Gayane Nadzharova is a partner in Asari Legal’s Dispute Resolution practice and co-head of the Reputation Recovery practice. She focuses on international litigation and cross-border matters involving the protection of honour, dignity, and business reputation.
Gayane also has extensive experience advising on mergers and acquisitions, corporate restructurings, and employment law, as well as developing comprehensive PR strategies and managing engagement with media.

International litigation
Representing:
- a private client in several high-profile criminal investigations in the EU that involved unprecedented measures (later found unlawful) and were widely covered by the media, including a major money-laundering inquiry in which the prosecutors ultimately declined to bring charges, found no criminal conduct, and closed the case with prejudice, fully preserving the presumption of innocence
- a private client in a mutual agreement procedure (MAP) under a double tax treaty between Russia and an EU Member State regarding tax claims amounting to hundreds of millions of euros
- a major Russian oil company in High Court litigation in England concerning claims exceeding USD 300 million, including applications for a worldwide freezing order against four well-known businessmen and Norwich Pharmacal disclosure orders ;in connection with allegations of a sophisticated, multi-jurisdictional fraud; the case resulted, among other things, in a judgment by the Civil Division of the Court of Appeal that was unprecedented in terms of the scope of review undertaken
Reputation recovery
Representing:
- a private client in a series of judicial and pre-trial proceedings in EU jurisdictions regarding the protection of the client’s honour, dignity, and business reputation in the face of past and current defamatory publications
- the PR department of a major Russian investment group in judicial and pre-trial proceedings in Russia and abroad concerning media relations, including claims for responses and corrections, pre-action work, and representation in court (arising from past and current defamatory publications)
- a private client in a series of judicial and pre-trial proceedings in EU jurisdictions regarding the protection of the client’s honour, dignity, and business reputation in the face of past and current defamatory publications
Developing comprehensive strategies:
- countering reputational harm to a prominent private client and affiliated companies,in designing a comprehensive strategy to counter persistent negative portrayals, including litigation to protect the honour, dignity, and business reputation of our client and the affiliates; this resulted in injunctions, written undertakings to cease dissemination of defamatory statements, corrections of publications, and the publication of retractions
- a client’s PR function to work with media, including demands for opportunity to respond, corrections, and retractions
- combating defamatory publications targeting a well-known Russian entrepreneur and related entitiesthrough pre-litigation and litigation tools across several EU Member States and other jurisdictions
Coordinating actions of:
- foreign counsel and consultants across multiple EU Member States and other jurisdictions to implement an integrated strategy to protect the reputation of a private individual
M&A transactions
Advising:
- the purchaser in a more than USD 2 billion transaction on a range of matters in connection with the acquisition of shares in companies of the EUROCEMENT group and related claims, as well as on the structuring and financing of the transaction
Representing:
- Sanors Holding Ltd in the sale to Rosneft of 100% of the shares in Novokuybyshevsk Petrochemical Company
- a major Russian business groupas a consortium member in the USD 28 billion sale to Rosneft of the consortium’s stake in TNK-BP American Lawyerrecognised this acquisition as “M&A Deal of the Year” in Russia at the 2013 Global Legal Awards
- a major Russian business group in a complex (involving shareholder financing and intragroup share exchanges and share pledges) USD 800 million transaction for the acquisition of shares in Russian power producers TGK-6 and TGK-7 from Inter RAO UES
- Millhouse in its acquisition of the White Gardens office complex (approx. 120,000 sq. m) in central Moscow from a sellers’ consortium
- Coalco Development in the USD 300 million sale of a 50% stake in the White Square Class A office and retail complex in downtown Moscow
